Please note that ICC reserves the right to alter or amend this Terms of Use at any time for any reason and without notice. ICC appreciates informational and educational uses of ICC’s website and ICC’s materials and content, as well as ICC’s name, logo, and other ICC registered trademarks and service marks (“ICC’s  Marks”). However, there are limits on the uses of ICC’s materials and content, ICC’s Marks and the use of banners and links bearing ICC’s Marks.

You agree that you shall not register or file applications to register ICC’s materials or contents and/or ICC’s Marks, nor shall you adopt, use, or register any corporate name, trade name, trademark, domain name, service mark or certification mark, or other designation confusingly similar to ICC’s Marks.

Use of ICC’s Marks and any link bearing ICC’s Marks may not indicate or create an impression that endorses, approves, sponsors or is affiliated with your products, goods, services or website.

Use of ICC’s Marks and any link bearing ICC’s Marks may not indicate or create an impression that the ICC will benefit from the sale of any good or service.

Use of ICC’s Marks and any link bearing ICC’s Marks may not be used in any manner likely to confuse, mislead, or deceive the public, or be adverse to the best interests of the ICC.

Use of links bearing ICC’s Marks may only be used for the purpose of linking to the website as designated within the link.
Use of ICC’s Marks and any link bearing ICC’s Marks on websites which ICC finds, in its sole discretion, to be objectionable or which includes obscene, violent intolerant, tasteless, denigrating or sexually oriented content or materials is prohibited. ICC’s Marks and any link bearing ICC’s Marks may not appear on any pages of any websites that include content or advertising for alcoholic beverages, tobacco, pornography, religious material, partisan material, political material or firearms.

TERMINATION
ICC may revoke your right to use ICC’s materials and content, ICC’s Marks and banners and links to ICC’s Marks at anytime. Upon receipt of notice of termination, you shall immediately cease any all further use of ICC’s materials and content, ICC’s Marks and banners and links to ICC’s Marks.  ICC has the right to seek appropriate legal action to terminative any uses of ICC’s materials and content, ICC’s Marks and banners and links bearing ICC’s Marks in the event that ICC determines that your use does not conform to any terms and conditions of this Terms of Use or as provided elsewhere on the website; infringes any intellectual property right or other right of ICC or a third party, adversely affects ICC’s image, reputation or services or programs, violates any applicable law, regulation or ordinance, and/or is a prohibited activity.

CHOICE OF LAW; JURISDICTION
This Terms of Use shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to conflict of law provisions of your actual state or country of residence. Any claims, legal proceeding or litigation arising in connection herewith shall be brought solely in New York County, State of New York, and you consent to the jurisdiction of such courts.

REMEDIES
Please be aware that violation of ICC’s copyright, trademark, or other intellectual property rights may subject you to civil and criminal penalties.

INDEMNITY
You agree to indemnify and hold harmless ICC for any harm arising out of your wrongful and/or improper use of ICC’s website, ICC’s materials and content, ICC’s Marks and/or banners and links bearing ICC’s Marks.

DISCLAIMER OF WARRANTY

ICC MAKES NO WARRANTIES, REPRESENTATIONS OR STATEMENTS, EXPRESS OR IMPLED, WITH RESPECT TO THE MATERIALS AND CONTENTS ON ITS WEBSITE, INCLUDING ITS MARKS, AND HEREBY DISCLAIMS ALL WARRANTIES THAT MIGHT OTHERWISE BE IMPLIED BY LAW.  USE OF MATERIALS AND CONTENTS ON ICC’S WEBSITE, ICC’S MARKS AND BANNERS AND LINKS BEARING ICC’S MARKS IS SOLELY AT YOUR OWN RISK.
